Authorised User Terms - governs your individual use of a Stanza Card
This Schedule forms part of the Stanza Platform Agreement. Defined terms have the meanings given in Section 17 of the Platform Agreement.
Your employer has entered into the Stanza Platform Agreement. This Cardholder Agreement governs your individual use of a Stanza Card as an authorised user on your employer's Account. By activating your Stanza Card you agree to these terms. Your employer is the primary liable party for all card spend.
1. WHO YOU ARE CONTRACTING WITH
- 1.a. Card Issuer: Third National, Nimbus LLC (d/b/a Third National), organised under the laws of Puerto Rico and a licensed lender in good standing. Third National issues your Stanza Card and establishes your Payment Card Account. Third National's name is displayed on your card.
- 2.b. Programme Manager: Rain, Signify Holdings, Inc. (d/b/a Rain), a Visa programme partner. Rain manages the card programme infrastructure and conducts Cardholder KYC via the Persona SDK.
- 3.c. Distribution Partner: Stanza. Stanza manages the Platform through which your card is issued and controlled.
- 4.d. Card Network: Visa International Service Association. Your card is processed on the Visa network.
2. YOUR CARD
Your Stanza Card is a USD-denominated Visa corporate card for business use only. It must not be used for personal, family, or household expenses under any circumstances. It is not a consumer credit card and consumer protection laws (including the Electronic Funds Transfer Act and Regulation E) do not apply to your use of the card. Stanza Cards may be issued as virtual cards, physical cards, or both, as displayed on the Platform. Your card is valid for the period displayed on the card face.
3. YOUR SPEND LIMIT
Your card spend limit is set by your employer (Admin) through the Stanza Platform and may be changed by your employer at any time. Your limit is always subject to: (a) your employer's overall Business Wallet balance; (b) the programme-level Daily Limit set by Rain; and (c) any adjustments made by Third National, Rain, or Stanza. Rain's and Third National's limits take precedence over any Admin-set limit.
4. WHAT YOU CAN AND CANNOT DO
You may only use your Stanza Card for bona fide business expenses on behalf of your employer. You must not use your card for:
- •Personal, family, or household expenses of any kind;
- •Any activity listed in the Stanza Acceptable Use Policy (Schedule C) or the Rain Prohibited Activities List;
- •Transactions with any sanctioned country, person, or entity (including any country or person on OFAC, UN, EU, or UK sanctions lists);
- •Any purpose not authorised by your employer;
- •Any unlawful purpose under the laws of any applicable jurisdiction.
5. FOREIGN CURRENCY SPEND
If you use your card in a currency other than USD, the transaction will be converted to USD by the Visa network or Third National at the rate applicable at the time of conversion. Foreign exchange fees and cross-border fees may apply. These fees are set by Rain and Third National and are disclosed in the Fee Schedule on the Platform. Your employer is liable for all such fees.
6. CARD SECURITY
You are responsible for keeping your card, card number, CVV, expiry date, and Platform login credentials secure at all times. Do not share card details with any third party. You must take reasonable steps to prevent unauthorised use of your card.
If your card is lost, stolen, or compromised, or if you become aware of any unauthorised transaction, you must: (a) immediately notify your Company Admin; (b) report the loss or suspected fraud through the Platform or by contacting Stanza at [support contact]; and (c) cooperate with Stanza's infrastructure providers in investigating any unauthorised use.
7. DISPUTING A TRANSACTION
If you believe a transaction is unauthorised or incorrect, you must notify your Company Admin as soon as possible and no later than 60 days after the transaction posts to your account. Your Company Admin will initiate the dispute process through the Platform. Disputes are processed by Third National through the Visa network under Visa's chargeback rules. Third National has final authority over chargeback outcomes. Neither Stanza nor Rain is responsible for chargeback outcomes determined by Third National or Visa.
8. YOUR PERSONAL DATA
Stanza collects your personal data (including name, date of birth, address, and government-issued ID) for card issuance, identity verification, and sanctions screening. Rain conducts Cardholder KYC directly via the Persona SDK on behalf of Third National. Your personal data is shared with Stanza's infrastructure providers as needed to provide the Services, comply with applicable law, and fulfil obligations under the card programme. Details of the data we collect, how we use it, and who we share it with are set out in Stanza's Privacy Policy at [link]. Please review Stanza's Privacy Policy before activating your card.
By activating your card you consent to the collection, use, and sharing of your personal data as described in Stanza's Privacy Policy. You consent to receiving all notices and communications from Stanza electronically, including through the Platform and by email. You must maintain current contact information on the Platform.
9. CARD SUSPENSION & TERMINATION
Your card may be suspended or cancelled at any time without prior notice by your employer (Admin) or by Stanza, including where required by the card programme manager, Issuer, card network, or any regulatory authority. You will be notified through the Platform where practicable.
If you leave your employer, your Company Admin is responsible for deactivating your card promptly through the Platform. All charges incurred before deactivation remain the liability of your employer. You have no right to continued access to a Stanza Card.
The card programme is subject to the requirements of Rain and Third National, and your Payment Card Account may be affected by decisions made by those parties under their own terms and policies.
10. LIMITATION OF LIABILITY
YOUR EMPLOYER IS THE PRIMARY PARTY LIABLE TO STANZA FOR ALL CARD SPEND AND RELATED OBLIGATIONS. AS AN INDIVIDUAL CARDHOLDER YOUR PERSONAL LIABILITY TO STANZA IS LIMITED TO LOSSES CAUSED BY YOUR OWN FRAUD, WILFUL MISCONDUCT, OR USE OF THE CARD FOR UNAUTHORISED PERSONAL PURPOSES. YOU ARE NOT ENTITLED TO ANY GREATER RIGHTS AGAINST STANZA, RAIN, OR THIRD NATIONAL THAN YOUR EMPLOYER HAS UNDER THE PLATFORM AGREEMENT.
11. RAIN & THIRD NATIONAL TERMS
By using your Stanza Card you are also bound by the following Rain terms, which are incorporated by reference into this Cardholder Agreement and are available at the Stanza legal page at [stanza.com/legal], as updated from time to time:

In the event of conflict between Rain's terms and this Schedule B, Rain's terms prevail in respect of the card programme. Rain may update its terms from time to time. Continued use of your Stanza Card constitutes acceptance of any updated Rain terms.
